Terms of service for Digital Web Sync
These Terms of Service explain the rules, responsibilities, payment terms, ownership conditions, limitations, and service boundaries that apply when using Digital Web Sync’s website, services, subscriptions, proposals, and digital solutions.
1. Acceptance of these terms
By accessing digitalwebsync.com, requesting a quote, approving a proposal, purchasing a service, subscribing to a plan, or otherwise working with Digital Web Sync, you agree to be bound by these Terms of Service.
If you do not agree with these Terms, you should not use our website, request our services, or proceed with any commercial engagement with Digital Web Sync.
2. Services provided by Digital Web Sync
Digital Web Sync provides digital services including, but not limited to, web design, web development, WordPress development, SEO, PPC and advertising management, social media marketing, branding, hosting guidance, maintenance, SaaS-related services, consulting, custom software, AI solutions, automation, CRM integrations, and related digital business services.
The exact scope, deliverables, pricing, responsibilities, estimated timeline, revision structure, and special conditions of each project will be defined in a written quote, proposal, invoice, service agreement, or written communication approved by the client.
3. Quotes, proposals, and written agreements
Any quote, proposal, invoice, or written agreement provided by Digital Web Sync is valid only for the period stated in that document. If no validity period is stated, Digital Web Sync may revise or withdraw the quote before payment or written approval.
Any special condition, exception, discount, timeline, payment arrangement, revision policy, or scope modification must be confirmed in writing to be valid.
4. Payment terms for projects
Unless otherwise agreed in writing, project-based services require a 50% upfront payment before work begins and a remaining 50% final payment upon completion, delivery, launch readiness, or final approval stage, depending on the project structure.
Digital Web Sync is not required to begin, continue, deliver, publish, transfer, or release final project materials until the required payment has been received.
5. Subscriptions, recurring services, and monthly plans
Digital Web Sync may offer monthly subscriptions, maintenance plans, marketing retainers, SaaS-related services, hosting-related services, CRM support, advertising management, technical support, or other recurring services.
Subscriptions and recurring services may be canceled according to the conditions stated in the applicable agreement or billing arrangement. However, payments already made for active or started billing periods are non-refundable unless required by law or expressly agreed in writing by Digital Web Sync.
6. Refund policy
Once project work has started after the required upfront payment, Digital Web Sync does not provide refunds for project-based services. This is because time, planning, strategy, design, development, technical configuration, consulting, and internal resources are allocated immediately after project initiation.
Subscription payments, monthly services, retainers, SaaS-related fees, maintenance plans, advertising management fees, and similar recurring charges are also non-refundable once the billing period has started.
If a technical issue is caused by an error in programming or implementation directly performed by Digital Web Sync, we will repair that issue at no additional cost. Such repair does not create a right to a refund.
7. Timelines and delivery estimates
Project timelines depend on project complexity, client responsiveness, content delivery, third-party tools, revision rounds, technical dependencies, platform approvals, payment timing, and other factors.
Unless a fixed deadline is expressly confirmed in writing, all timelines are estimates only. Digital Web Sync is not responsible for delays caused by incomplete client information, late payments, late approvals, third-party providers, hosting issues, platform changes, external integrations, or circumstances outside our reasonable control.
8. Revisions and scope changes
Revision limits, feedback rounds, included changes, and approval processes depend on the specific project and will be described in the applicable quote, proposal, invoice, or written agreement.
Requests outside the approved scope may be considered additional work and may require additional fees, timeline adjustments, or a separate written agreement before implementation.
9. Client responsibilities
Clients are responsible for providing accurate information, required content, brand assets, access credentials, approvals, business requirements, legal notices, product information, images, licenses, third-party account access, and any materials needed to complete the project.
Clients are also responsible for ensuring that any content, images, trademarks, claims, products, services, or materials they provide are lawful, accurate, properly licensed, and do not infringe third-party rights.
10. Ownership and intellectual property
Unless otherwise agreed in writing, all project files, designs, code, layouts, configurations, written content, strategies, systems, technical work, and deliverables created by Digital Web Sync remain the property of Digital Web Sync until full payment has been received.
After full payment, ownership of the agreed final deliverables is transferred to the client, except for third-party tools, licensed software, open-source components, stock assets, frameworks, plugins, APIs, templates, subscriptions, or reusable internal systems that are subject to separate licenses or ownership rules.
11. Portfolio rights and public display
Unless the client requests confidentiality in writing or a separate non-disclosure agreement applies, Digital Web Sync may reference completed work, client names, screenshots, project summaries, public website links, visual previews, and non-confidential project details in its portfolio, case studies, proposals, social media, marketing materials, and business presentations.
Confidential information, private credentials, sensitive business data, and non-public client materials will not be intentionally disclosed as part of portfolio use.
12. Support after project delivery
Unless otherwise stated in writing, Digital Web Sync provides six months of support after project delivery for issues directly related to the delivered work.
Digital Web Sync may also provide one free code update per year when applicable and technically reasonable. Ongoing maintenance, security monitoring, backups, malware protection, content updates, plugin updates, hosting administration, performance optimization, and continuous support require a separate paid maintenance plan or written agreement.
13. Bug fixes and technical corrections
If a technical issue is caused by Digital Web Sync’s own programming error, implementation mistake, or configuration error within the agreed project scope, Digital Web Sync will repair the issue at no additional cost.
This does not include issues caused by third-party plugins, hosting environments, client modifications, external developers, outdated systems, malware, API changes, platform updates, unsupported software, user error, or new requests outside the original scope.
14. Hosting, third-party platforms, and external providers
Digital Web Sync may recommend, configure, manage, or assist with third-party hosting, domains, DNS, payment processors, advertising platforms, analytics tools, CRM systems, plugins, APIs, SaaS platforms, email systems, and other external services.
Unless Digital Web Sync expressly provides a service directly under a written agreement, Digital Web Sync is not responsible for third-party downtime, pricing changes, account restrictions, policy changes, service failures, lost data, payment issues, platform suspensions, API changes, security incidents, or provider decisions.
If Digital Web Sync later offers direct hosting, reseller hosting, managed hosting, or server-based services, additional hosting-specific terms may apply.
15. Suspension for non-payment or abuse
Digital Web Sync may pause, suspend, withhold, or terminate services if invoices are unpaid, payment methods fail, subscriptions are canceled, chargebacks are initiated improperly, required information is not provided, or the client materially breaches these Terms or a written agreement.
Digital Web Sync may also suspend or terminate services immediately if a client uses our services for fraud, spam, malware, scams, illegal activities, harmful content, intellectual property infringement, security abuse, or activities that may expose Digital Web Sync or third parties to legal, financial, technical, or reputational risk.
16. Prohibited uses
You may not use Digital Web Sync’s website, services, systems, deliverables, or technical work for unlawful, abusive, fraudulent, deceptive, harmful, infringing, or unauthorized purposes.
Prohibited uses include, without limitation, fraud, spam, phishing, malware, unauthorized data collection, copyright infringement, illegal sales, impersonation, hate or extremist activity, unauthorized access attempts, platform manipulation, or any activity that violates applicable laws or third-party rights.
17. Confidentiality
Digital Web Sync will make reasonable efforts to protect confidential client information, including private credentials, business information, internal documents, unpublished materials, and sensitive project details shared for the purpose of providing services.
Clients are responsible for limiting access to sensitive accounts, rotating credentials when needed, and avoiding unnecessary disclosure of confidential or personal information.
18. No guarantee of results
Digital Web Sync does not guarantee specific rankings, traffic levels, sales, revenue, leads, conversions, advertising returns, platform approvals, audience growth, security outcomes, technical performance, or business results.
Results depend on many factors outside our control, including market conditions, competition, client decisions, advertising budgets, user behavior, third-party platforms, search engine algorithms, hosting performance, and implementation variables.
19. Limitation of liability
To the fullest extent permitted by applicable law, Digital Web Sync shall not be liable for indirect, incidental, consequential, special, punitive, exemplary, or economic damages, including loss of profits, loss of revenue, loss of business, loss of data, reputational harm, service interruptions, platform suspensions, or missed opportunities.
Digital Web Sync’s total liability for any claim related to a service shall not exceed the amount paid by the client to Digital Web Sync for the specific service giving rise to the claim, unless a higher amount is required by applicable law.
20. Governing law and international clients
Digital Web Sync serves clients internationally, but operates under the laws applicable in the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
By working with Digital Web Sync, international clients acknowledge that Canadian and Québec legal principles may govern the interpretation and enforcement of these Terms, unless a separate written agreement states otherwise.
21. Changes to these terms
Digital Web Sync may update, replace, or modify these Terms of Service at any time. Updated Terms will be posted on this page with the revised content.
Continued use of our website or services after updates are posted constitutes acceptance of the revised Terms, unless otherwise required by applicable law.
